1. Acceptance of Terms

By accessing the NexAvinya AI website (nexavinya.ai) or using the NexAvinya platform ("Platform") at app.nexavinya.ai, you ("Customer", "you") agree to be bound by these Terms of Service. If you use the Platform on behalf of a company, you represent that you are authorised to bind that company to these terms.

2. The Service

The Platform is an AI-enabled, industry-specific business system covering marketing, sales, projects, finance, HR, and related operations. The exact suites and modules included in your subscription are described on our pricing page and in your order confirmation.

3. Your Account & Authorised Use

You must:

  • Provide accurate registration and billing information
  • Keep login credentials confidential and secure
  • Ensure your team members use the Platform only for your business purposes
  • Not resell, sublicense, or provide the Platform to third parties except through features designed for it (client & partner portals, white labelling where purchased)
  • Not attempt to probe, disrupt, or reverse engineer the Platform
  • Not use the Platform to store or transmit unlawful content

4. Your Data — Ownership & Our Obligations

Your business data belongs to you. Leads, projects, documents, financial records and everything else your team enters into the Platform remains your property. We process it only to operate the service, under our Data Processing Agreement and Privacy Policy.

On termination, you may export your data; we will delete it from production systems after the retention window described in the DPA.

5. Subscriptions, Fees & Launch Offers

  • Fees, billing cadence, and included usage are as published at the time of purchase or in your order form
  • Launch-offer terms (including founding-customer pricing) remain locked for as long as the subscription stays active and in good standing
  • Fees are exclusive of applicable taxes (GST charged as required)
  • AI usage beyond included credits is billed on the published pay-as-you-go rates

6. Availability & Support

We target high availability but do not guarantee uninterrupted service. Planned maintenance is announced in advance where practical. Support channels and response targets depend on your plan; founding customers receive priority support.

7. Intellectual Property

The Platform — its design, code, AI workflows, and data structures — is the property of NexAvinya AI Private Limited. These terms grant you a limited, non-exclusive, non-transferable right to use it for the subscription term. Feedback you provide may be used to improve the product without obligation.

8. Suspension & Termination

We may suspend or terminate access for material breach of these terms, non-payment after notice, or unlawful use. You may cancel per your plan's terms; cancellation stops future billing but fees already paid are non-refundable except where required by law.

9. Liability

To the maximum extent permitted by law, our aggregate liability under these terms is limited to the fees paid by you in the 12 months preceding the claim. We are not liable for indirect or consequential losses. Nothing limits liability that cannot be limited under Indian law.

10. Governing Law

These Terms are governed by the laws of India. Disputes shall be subject to the exclusive jurisdiction of courts in Hyderabad, Telangana.
